Terms of Service

These Terms of Service ("Terms") govern the use of the Prosper mobile application ("App") and the website [https://prosper-app.com] ("Website") provided by Prosper Mobile App ("we," "us," or "our"). By accessing or using the App or Website, you ("User" or "you") agree to be bound by these Terms. If you do not agree to these Terms, please refrain from using the App and Website.

Use of the App

1.1 Eligibility

By using the App, you represent and warrant that you are at least 18 years of age or have obtained parental or guardian consent to use the App. If you are accessing or using the App on behalf of a company or organization, you represent and warrant that you have the authority to bind such entity to these Terms.

1.2 Account Registration

To access certain features of the App, you may be required to create an account. You agree to provide accurate and complete information during the registration process. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

1.3 Acceptable Use

You agree to use the App in compliance with applicable laws and regulations and these Terms. You shall not:

Interfere with or disrupt the operation of the App or any servers or networks connected to the App. Engage in any activity that could harm, disable, overburden, or impair the App's functionality.

The App and Website, including all content, features, and functionality, are owned by us or our licensors and are protected by intellectual property laws. You acknowledge and agree that all rights, title, and interest in and to the App and Website, including any intellectual property rights, are and will remain the exclusive property of Prosper Mobile App.

2.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the App for personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any part of the App or Website without our prior written consent.

Privacy

We respect your privacy and are committed to protecting your personal information. Our collection, use, and disclosure of personal information are governed by our Privacy Policy, which is incorporated by reference into these Terms.

Disclaimers and Limitations of Liability

4.1 App Availability

We strive to provide a reliable and uninterrupted App experience. However, we do not guarantee that the App will always be available, error-free, or free from viruses or other harmful components. You acknowledge that the App may be subject to limitations, delays, and other issues beyond our control.

4.2 Third-Party Services

The App may integrate or provide links to third-party services, websites, or content. We are not responsible for the availability, accuracy, or legality of such third-party services or content. Your use of third-party services is subject to their respective terms and policies.

4.3 Disclaimer of Warranties

The App and Website are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We disclaim all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

4.4 Limitation of Liability

To the fullest extent permitted by applicable law, we shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with the use or inability to use the App or Website, even if we have been advised of the possibility of such damages.

Indemnification

You agree to indemnify, defend, and hold harmless Prosper Mobile App and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses arising out of or related to your use of the App, violation of these Terms, or infringement of any intellectual property or other rights.

Termination

We reserve the right, in our sole discretion, to terminate or suspend your access to the App or Website at any time and for any reason without prior notice or liability.

Subscriptions

The mobile application offers subscriptions that give you access to additional features like unlimited entries, color themes and others. Our subscriptions include a free trial period, where you can experience the mobile application at no cost. Subscription with the free trial period will automatically renew to a paid subscription once your free trial expires. If you decide to unsubscribe from a paid subscription before we start charging your payment method, cancel the subscription before the free trial ends.

We offer monthly subscription option. Payment will be charged to your credit/debit card through your iTunes Account or Google Play after you choose subscription and confirm your purchase. Subscription automatically renew unless auto-renew is turned off, until cancelled in the Manage Subscriptions section of your account settings. We will notify you if the price of subscription increases and if required, seek your consent to continue. You will be charged no more than 24 hours prior to the start of the latest paid subscription period.

Miscellaneous

These Terms constitute the entire agreement between you and Prosper Mobile App regarding the use of the App and Website and supersede any prior agreements or understandings. If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the remaining provisions shall remain in full force and effect.
